Term & Conditions

These Terms and Conditions ("Agreement") govern your access to and use of the DelfinPOS Software-as-a-Service (SaaS) platform (“Software”) provided by DelfinPOS (“Provider”, “we”, “our”, or “us”). By subscribing to, accessing, or using the Software, you ("Subscriber", "you", or "your") agree to be legally bound by this Agreement. If you do not agree with any part of these Terms, you must not use the Software.

1) License Grant

DelfinPOS grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Software solely for your internal business operations, subject to the terms set forth in this Agreement. No other rights are granted.

2) User Accounts

You may be required to create an account to access the Software. You are solely responsible for maintaining the confidentiality and security of your account credentials (including username and password) and for all activities under your account. You agree to notify DelfinPOS immediately of any unauthorized access or security breach.

3) Fees and Payment

Access to the Software is subject to the payment of applicable subscription fees, as agreed upon between you and DelfinPOS.

All fees must be paid on time in accordance with the billing cycle and payment terms.

DelfinPOS reserves the right to suspend or terminate your access in case of delayed or non-payment.

All payments made are non-refundable under any circumstances.

4) Ownership and Intellectual Property

The Software, including all source code, user interfaces, designs, trademarks, content, and associated intellectual property rights, are and shall remain the exclusive property of DelfinPOS. You agree not to:

Copy, modify, reverse engineer, or create derivative works of the Software.

Reproduce or distribute the Software without express written permission

5) Data Privacy

DelfinPOS collects and processes certain personal and business data as necessary for providing the Software. Our use of your data is governed by our Privacy Policy, which is incorporated by reference into this Agreement.

You are responsible for ensuring that any data you input into the Software complies with applicable data protection laws.

6) Availability and Disclaimer

The Software is provided on an “as-is” and “as-available” basis.

DelfinPOS makes no express or implied warranties regarding:

The uninterrupted availability of the Software,

Its fitness for a particular purpose, or

Accuracy or completeness of its features.

To the maximum extent permitted by law, DelfinPOS disclaims all liability for any direct, indirect, incidental, special, or consequential damages arising from or related to your use of the Software.

7) Termination

Either party may terminate this Agreement at any time with written notice. Upon termination:

You must immediately cease using the Software.

All access rights and licenses granted to you will be revoked.

Any outstanding payments shall remain due and payable

8) Modifications to Terms

DelfinPOS reserves the right to revise these Terms at any time. Updated versions will be posted on our website and will be effective upon posting. Continued use of the Software after such changes constitutes your acceptance of the modified Agreement.

9) Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of Pakistan. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts in Pakistan.

10) Service Availability & Uptime Commitment

DelfinPOS is committed to delivering a dependable and responsive software experience for your business operations. To ensure consistent performance, we maintain strict service level targets.

10.1 Uptime Guarantee

DelfinPOS guarantees 99.5% uptime on a monthly basis for all paid subscription accounts, excluding:

Scheduled maintenance, Emergency maintenance, Downtime caused by force majeure events (e.g. power outages, internet disruptions, natural disasters, third-party failures), or Issues caused by the user’s own systems, devices, or internet connectivity.

10.2 Scheduled Maintenance

Maintenance activities are scheduled during off-peak hours to minimize disruption and will be communicated in advance via email or in-app alerts. Scheduled maintenance windows will not be counted as downtime.

10.3 Service Credits for Downtime

If DelfinPOS fails to meet the monthly uptime commitment, eligible subscribers may request service credits as outlined below:

5% of monthly subscription fee

98.0% - 98.99%

10% of monthly subscription fee

Below 98.0%

20% of monthly subscription fee

Service credits are issued only upon written request submitted within 7 days after the end of the affected month. Credits are applied toward future invoices and are not redeemable for cash. Service credits cannot exceed 1 month’s subscription fee in any billing period.

10.4 Exclusions

This uptime commitment does not apply to: Free or trial users, Beta features or non-production environments, Downtime caused by user-side configuration errors or third-party integrations.

10.5 Disclaimer

While we take all reasonable steps to ensure service reliability, DelfinPOS does not guarantee uninterrupted service and shall not be liable for any loss, data corruption, or revenue impact arising from downtime beyond the stated credit remedy.

11) Entire Agreement

This Agreement, including the incorporated Privacy Policy, constitutes the entire agreement between you and DelfinPOS regarding your use of the Software and supersedes all prior agreements or communications. No amendment or waiver of any term of this Agreement shall be effective unless in writing and signed by both parties.
